General Terms and Conditions of Sale (T&Cs)

1. Preamble

These General Terms and Conditions of Sale (hereinafter the “T&Cs”) and the relevant “Legal Notice” are applicable to the website and its international extensions (hereinafter the “Website”), which offers gardening products and digital content (the “Products”) for sale to consumers browsing the Website (hereinafter the “Customer”).

The Website, specializing in the distance selling sector, is published by Mr. Robin CHAUMERY (hereinafter referred to as ”Springday ”), a sole trader registered with the Trade and Companies Register of Marseille under the number 840 047 989.

Springday reserves the right to adapt or modify these T&Cs at any time. It is agreed that in the event of a modification, the version of the T&Cs applicable to any Order is the one online on the Website on the Day the Order is placed.

These General Terms and Conditions of Sale apply to any Order placed on the Website for the purchase of Products presented by Springday .

Any Order placed for a Product appearing in the Website’s online store implies prior consultation of these general terms and conditions and their unreserved and irrevocable acceptance. Consequently, the Customer acknowledges being fully informed that their agreement regarding the content of these general terms and conditions of sale does not require the handwritten signature of this document, insofar as the Customer wishes to order the Products presented in the Website’s store online.

2. Definitions

“Delivery Address”: The geographical location indicated by the Customer where the physical Products are to be delivered.

“Customer”: Refers to Springday ‘s co-contracting party, who guarantees they have the status of a consumer as defined by consumer law. In this capacity, it is expressly stated that the Customer is acting for non-professional or non-commercial purposes.

“Order”: The Customer’s purchase order for one or more Products, accepted by Springday pursuant to these General Terms and Conditions of Sale.

“General Terms and Conditions of Sale”: Refers to these general terms and conditions of sale as well as all their appendices.

“Day”: Refers to calendar days.

“Delivery”: Refers to the physical provision of the physical Products to the Customer at the location agreed upon during the Order, or the provision by means of download for digital Products.

“Product(s)”: Refers to all goods offered for sale on the Website by Springday . They include both Physical Products (e.g., copper slug netting, fixing kits) and Digital Products.

“Digital Product”: Refers to any digital content provided on an intangible medium (e.g., E-book, PDF guide) accessible via download.

“Intellectual Property”: Refers to (a) all kinds of inventions, whether patentable or not, and whether or not they have an identified industrial application, and all related improvements, as well as all patents and other applications, (b) all trademarks and other distinctive signs, (c) all texts and other works capable of being protected by copyright, (d) all semiconductor topographies, (e) all trade secrets, business methods, laboratory processes, and other know-how, (f) all plant variety certificates, (g) all registered or unregistered designs or other industrial designs, (h) all rights relating to software, (i) all rights to databases, (j) all rights to domain names, as well as to websites, (k) generally all rights to intangible assets capable of corresponding to the protection of an idea, and (l) all reproductions of the aforementioned intellectual property objects.

“Website”: Refers to all e-commerce websites published by Springday (e.g., Springday and its associated international extensions).

3. Physical and Digital Products

Physical Products

In accordance with applicable consumer protection laws, Springday presents the Products for sale and their characteristics on the Website. The Customer has the opportunity to learn, before placing a final Order, the essential characteristics of the Products they wish to purchase. The offers presented by Springday are only valid while stocks last. The photos representing the Products have only an indicative value. These photos, like the texts illustrating the Products, do not fall within the contractual scope.

Digital Products (E-books and guides)

The Digital Products offered, such as electronic books (E-books), are accessible via download or electronic transmission. Upon validation of the Order, the Customer is granted a personal, individual, non-exclusive, and non-transferable right to use the Digital Product. Any reproduction, distribution, resale, or sharing with third parties, in whole or in part, is strictly prohibited and exposes the offender to legal prosecution. Springday takes the greatest care in drafting its Digital Products. However, these documents must be considered as educational and informational materials. The Customer acknowledges and accepts that this documentation does not in any way bind Springday to an obligation of result regarding the management of their garden. Springday cannot be held liable for any error, omission, or for the unsuccessful application of the advice provided.

According to case law, a hyperlink can be described as “a simple mechanism allowing the user, by clicking on a word or a button, to move from one site to another.” While browsing, the Customer may have access to hyperlinks leading to other websites. These hyperlinks established to other websites from the Website cannot, under any circumstances, engage the liability of Springday . Springday thus declines any responsibility in the event of inaccurate, incorrect, or erroneous content on the third-party website to which the hyperlink redirects.

5. Prices, Customs, and Taxes

The prices of the Products are those in effect on the Day the Order is placed by the Customer. They are stated in the currency applicable to the Website used by the Customer (notably in Euros, Swiss Francs, or British Pounds) and include the Value Added Tax (VAT) applicable on the day of the Order. The prices do not include delivery costs, which are billed in addition and indicated before the final validation of the Order. Springday reserves the right to modify its prices at any time. However, it agrees to invoice the ordered Products at the prices indicated when the Order was registered.

Orders outside the European Union (notably Switzerland and the United Kingdom):

For any Order shipped outside the European Union, the Customer is expressly considered the importer of the Product(s) concerned. Customs duties, other local taxes, import duties, or state taxes may be payable to local authorities. These duties and sums are not the responsibility of Springday . They are the sole responsibility of the Customer, both in terms of declarations and payments to the competent authorities and bodies of their country. In the event the Customer refuses the package due to customs fees, the return shipping costs of the Product will be deducted from any potential refund.

6. Payments

The price is payable in cash, in full on the Day the Order is placed by the Customer, via secure payment, according to the methods offered on the Website (notably by credit cards: Visa, MasterCard, American Express, or via PayPal). The amount owed is the amount indicated on the Order confirmation page displayed to the Customer at the time of payment. The Customer’s account will be debited at the time their Order is validated. To this end, the Customer confirms and guarantees to Springday that they are the holder of the payment method used. In the event that, for whatever reason (stop payment, refusal by the issuing center, etc.), the debiting of the sums owed by the Customer proves impossible, the Order will be immediately canceled. The transfer of ownership of the physical Products from Springday to the Customer will only be carried out after full collection of the price by the latter.

7. Product Orders

To place an Order on the Website, the Customer must be of legal age, have legal capacity, and hold a valid payment method as offered on the Website (Visa, MasterCard, American Express, PayPal, etc.).

The sale of Products on the Website is exclusively reserved for sale to private individuals acting for their personal needs. Under no circumstances may the Website be used by professional sellers, whether alone or grouped together.

Springday shall be entitled to refuse any Order placed by a Customer with whom a dispute relating to the payment of a previous Order exists. If Springday notes that the Order does not comply with these General Terms and Conditions of Sale, it will inform the Customer by email. If the Customer fails to correct the erroneous elements, Springday reserves the right to simply cancel the Order.

All steps necessary for the sale are detailed on the Website. The Customer has the opportunity, before finally validating their Order, to check the details of their Order and its total price, and to correct any potential errors, before confirming it to express their acceptance. This validation implies full acceptance of these General Terms and Conditions of Sale and constitutes proof of the sales contract. It is therefore the Customer’s responsibility to check the accuracy of the Order and to report any errors immediately.

From the moment the Customer has validated their Order, Springday will acknowledge receipt of it without delay by electronic means. The sale will only be considered final after Springday has sent the Customer confirmation of the acceptance of the Order and after full payment of the price has been collected.

If it turns out, despite Springday ‘s vigilance, that the ordered Products are no longer available, Springday will inform the Customer by email as soon as possible and proceed with the corresponding refund.

8. Delivery

Delivery Methods (Physical Products)

When the Customer orders physical Products, they are delivered to the Delivery Address indicated by the Customer during the Order. This must be a physical residential or business address. Delivery cannot be made to hotels or P.O. boxes. In the event of an error in the recipient’s contact details provided by the Customer, Springday cannot be held responsible for the impossibility of delivering the Product. The Customer will bear the consequences (delay, impossibility of delivery, additional transport costs for reshipment) resulting from the erroneous or incomplete nature of the details provided.

Provision (Digital Products)

Digital Products (such as E-books) are not subject to physical delivery. They are made available to the Customer via download or by sending an access link by email immediately after confirmation of the Order’s payment.

Delivery Times (Physical Products)

Delivery times vary depending on the destination country and the chosen shipping method. The estimated delivery time is expressly indicated to the Customer on the Order validation page, prior to final payment. This period begins upon dispatch of the Order confirmation email. In the absence of a specific indication during the order, Springday commits to delivering the physical Products within a legal maximum period of thirty (30) days. For deliveries outside the European Union (notably Switzerland and the United Kingdom), the indicated times do not include potential processing times by local customs services, for which Springday cannot be held responsible.

Receipt of Physical Products

Delivery is deemed completed as soon as the Product is handed over to the Customer by the carrier. The risks relating to the products are transferred to the Customer the moment the Customer takes physical possession of the Products. Upon Delivery, the Customer is required to check the condition of the packaging and the conformity of the goods. In the event of an irregularity (damaged package, missing products), the Customer must express reservations on the carrier’s delivery note or refuse the package, and report it to Springday within three (3) Days via the Website’s contact form.

9. Right of Withdrawal and Return Policy

In accordance with Article L221-18 of the French Consumer Code (and equivalent EU directives), the Customer has a period of fourteen (14) calendar days from receipt of the physical Products to exercise their right of withdrawal, without having to provide a reason. The Customer exercises their right by informing Springday of their decision via an unambiguous statement (by email or postal mail) to the following address: ROBIN CHAUMERY 172 CHEMIN DES SENTES 83860 Nans-les-Pins, FRANCE.

In accordance with consumer law (Article L.221-28 13° of the French Consumer Code), the statutory right of withdrawal cannot be exercised for the supply of digital content not supplied on a tangible medium if the performance has begun with the consumer’s prior express consent and their express acknowledgment that they thereby lose their right of withdrawal. By downloading the E-book or Digital Product, the Customer expressly agrees that the supply begins before the end of the 14-day period and thus waives their statutory right of withdrawal. (However, the Digital Product benefits from a commercial guarantee described in Article 9.3).

9.2 Return Methods (Physical Products)

The Product must be returned by the Customer no later than fourteen (14) days following the communication of their decision to withdraw, to the aforementioned address. The Product must be returned in its original packaging or equivalent, in perfect condition for resale, accompanied by the return slip or invoice. In the event of depreciation of a Product resulting from handling other than what is necessary to establish the nature and characteristics of the Product (products cut, used, soiled, damaged), Springday reserves the right to refuse the refund. Return costs: The costs of returning physical Products remain entirely the exclusive responsibility of the Customer, regardless of their country of residence. Subject to compliance with these conditions, Springday undertakes to refund the sums paid (including standard initial delivery costs) within fourteen (14) days following the recovery of the Products or the provision of proof of shipment by the Customer.

9.3 Commercial Guarantee “60 Days Money Back” (Digital Products)

To ensure the full satisfaction of its Customers, Springday offers a specific 60-day commercial guarantee applicable solely to the purchase of its Digital Products (E-books/Guides). If the Customer believes that the content of the Digital Product does not meet their expectations, they have sixty (60) days from the date of their Order to request a full refund. To claim this guarantee, the Customer must send an email to specifying their order number. The refund will be issued via the payment method used during the order as soon as possible.

10.1 Conformity and Hidden Defects

The Products supplied by Springday benefit by law and without additional payment, independently of the right of withdrawal, in accordance with legal provisions, from:

  • The legal guarantee of conformity, for Products that are apparently defective, damaged, or do not correspond to the Order upon delivery.
  • The legal guarantee against hidden defects arising from the item sold that render it unfit for its intended use, or that so diminish this use that the buyer would not have acquired it, or would only have given a lesser price for it, had they known of them.

Under the conditions and terms set by law, the Customer, within the framework of the legal guarantee of conformity:

  • benefits from a period of two (2) years from the delivery of the goods to act against Springday .
  • can choose between the repair or replacement of the ordered Product, subject to the cost conditions provided for by law.
  • is exempted from proving the existence of the lack of conformity of the goods during the twenty-four (24) months following the delivery of the goods (except for second-hand goods).

The legal guarantee of conformity applies independently of any commercial guarantee that may cover the Product. The Customer may also decide to implement the guarantee against hidden defects of the Products; in this case, they can choose between the cancellation of the sale or a reduction in the sale price. The Customer is invited to read Appendix 1 for more information on the “provisions relating to legal guarantees”.

10.2 Exclusion of Guarantee

It is specified for all intents and purposes that the legal guarantees do not cover damage or defects resulting from an external cause (accident, shock, etc.) or from the Customer’s fault resulting from use or handling that is non-compliant and/or unsuited to the Product’s characteristics. Similarly, this article does not apply if the Products were not purchased on the Website, as the legal guarantees are owed by the seller from whom the Products were purchased.

11. Applicable Law

These General Terms and Conditions of Sale and all sales contracts resulting therefrom concluded between Springday and the Customer are subject to French law. However, a Customer residing outside of French territory is expressly informed that they may, where applicable, rely on the mandatory and protective legal provisions of their country of habitual residence (such as the Consumer Rights Act in the UK). Any dispute between the parties relating in particular to the formation, interpretation, execution, and/or termination of these T&Cs, which could not be resolved amicably, will be submitted to the competent courts under standard legal conditions.

12. Mediation

The Customer is informed that they may in any event resort to conventional mediation or any other alternative dispute resolution method, provided a dispute could not be settled within the framework of a prior written complaint submitted directly to Springday . For Customers residing in the European Union, in accordance with Article 14 of Regulation (EU) No 524/2013, the European Commission has set up an Online Dispute Resolution (ODR) platform, facilitating the independent out-of-court settlement of online disputes between consumers and professionals in the European Union. This platform is accessible at the following link: https://ec.europa.eu/consumers/odr/ In the absence of recourse to mediation, the courts within the jurisdiction of Springday ‘s headquarters (or those of the consumer’s place of residence according to mandatory legal provisions) shall have jurisdiction.

13. Personal Data and Privacy

In order to provide the Products offered on the Website, Springday is required to process personal data concerning the Customer, in particular that collected when the Order is placed. The processing of this data is carried out in strict compliance with current regulations, notably the General Data Protection Regulation (GDPR) for the European Union, the UK GDPR for the United Kingdom, and the Federal Act on Data Protection (FADP) for Switzerland. The information and data concerning the Customer are strictly necessary for the management of Orders, the execution and monitoring of commercial relations, customs management (where applicable), as well as for internal statistical purposes. This data may be transmitted to logistics and payment service providers who participate in the execution of the Orders. The Customer has the right at any time to access, rectify, delete, limit, and object to their personal data. To exercise these rights, simply send an email to and the necessary steps will be taken as soon as possible.

14. Intellectual Property

Springday holds the rights to the domain names associated with the Website (Springday and its international extensions). The Website is a work of the mind protected by Intellectual Property laws. The Website as a whole and each of its constituent elements (texts, photographs, E-books, guides, logos, illustrations, videos, structures, software) are the exclusive property of Mr. Robin CHAUMERY. Sales made under these general terms and conditions of sale do not entail any transfer of Intellectual Property rights to the benefit of the Customer. Consequently, any reproduction, representation, or modification, partial or total, of the Website or the Digital Products on any medium whatsoever is strictly prohibited, without prior written authorization from Springday . Failure to comply with this prohibition constitutes an infringement that may engage the civil and/or criminal liability of the infringer.

The Customer is required to verify that the Products received correspond to the Order and, in the event of a lack of conformity or a hidden defect within the meaning of the corresponding legal guarantees, must contact Springday , who will provide the necessary information regarding the return of the Products and their replacement or refund. Springday will exchange or repair the returned Product after receipt and examination of the Product concerned.

Article L217-4 of the Consumer Code: The seller is required to deliver goods in conformity with the contract and is liable for any lack of conformity existing at the time of delivery. They are also liable for any lack of conformity resulting from the packaging, assembly instructions, or installation when this was their responsibility under the contract or was carried out under their responsibility.

Article L217-5 of the Consumer Code: The goods conform to the contract: 1° If they are fit for the purpose usually expected of similar goods and, where applicable: - if they correspond to the description given by the seller and possess the qualities that the seller presented to the buyer in the form of a sample or model; - if they present the qualities that a buyer can legitimately expect given public statements. 2° Or if they have the characteristics defined by mutual agreement by the parties or are fit for any special purpose sought by the buyer, made known to the seller and which the latter accepted.

Article L217-12 of the Consumer Code: Action resulting from a lack of conformity is time-barred after two years from delivery of the goods.

Article 1641 of the Civil Code: The seller is bound by a guarantee against hidden defects in the item sold that render it unfit for the use for which it is intended, or that so diminish this use that the buyer would not have acquired it, or would only have paid a lower price for it, had they known of them.

Article 1648 paragraph 1 of the Civil Code: Action resulting from redhibitory defects must be brought by the purchaser within two years of the discovery of the defect.
